Terms and Conditions

The terms governing your use of bapmarketing.com and the services provided by BAP Marketing.

These Terms and Conditions (“Terms”) govern your access to and use of the website bapmarketing.com (the “Site”) and the services provided by BAP Marketing (“BAP Marketing,” “we,” “us,” or “our”). By using our Site or engaging our services, you (“you,” “client,” or “user”) agree to these Terms. If you do not agree, please do not use our Site or services.

1. Who we are

BAP Marketing is a digital marketing and SEO agency serving small service businesses in the United States. We are based in Steamboat Springs, Colorado.

2. Services

BAP Marketing provides digital marketing services, which may include search engine optimization (SEO), online advertising, content, website support, and related consulting. The specific services, scope, deliverables, and fees for any engagement will be described in a separate proposal, quote, or written agreement (“Service Agreement”). If there is a conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

3. No guarantee of results

Digital marketing and SEO results depend on many factors outside our control, including search engine algorithms, competition, market conditions, and third-party platforms. We use professional methods and reasonable efforts to deliver quality work, but we do not guarantee specific rankings, traffic, leads, sales, or other results. You acknowledge that results may vary and are not guaranteed.

4. Client responsibilities

To allow us to perform our services, you agree to:

  • Provide accurate, complete, and timely information
  • Grant any access needed to your website, accounts, analytics, advertising platforms, and business listings
  • Review and respond to requests, drafts, and approvals in a timely manner
  • Ensure you have the rights to any content, logos, or materials you provide to us
  • Comply with all applicable laws and third-party platform policies

Delays or incomplete information from you may affect timelines and results.

5. Fees and payment

Fees, billing frequency, and payment terms will be set out in your Service Agreement, proposal, or invoice. Unless otherwise stated:

  • Invoices are due upon receipt or by the date stated on the invoice
  • Recurring services are billed in advance for each service period
  • Late or missed payments may result in suspension or termination of services
  • Fees already paid are non-refundable except where required by law or expressly agreed in writing

Any third-party costs (such as advertising spend, software, or subscriptions) are your responsibility unless otherwise agreed.

6. Term and termination

Either party may terminate an engagement as described in the applicable Service Agreement, or with reasonable written notice if no term is specified. Upon termination:

  • You remain responsible for fees for services performed up to the termination date
  • We will provide access to completed deliverables for which payment has been received
  • Ongoing recurring services will stop at the end of the current paid period unless otherwise agreed

We may suspend or terminate services immediately for non-payment, misuse, or violation of these Terms.

7. Intellectual property

Unless otherwise agreed in writing, deliverables created specifically for you become your property once payment is received in full. We retain ownership of our own pre-existing methods, tools, templates, processes, and know-how, and may reuse general skills and knowledge gained during the engagement. You grant us permission to reference your business and non-confidential work in our portfolio and marketing materials unless you request otherwise in writing.

8. Confidentiality

Each party agrees to keep the other party’s non-public business information confidential and to use it only for the purpose of the engagement. This does not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law.

9. Third-party services

Our services may involve third-party platforms and tools, including Google products (such as Google Analytics and Google Ads). We are not responsible for the availability, performance, policies, or actions of these third parties. Your use of third-party services is subject to their own terms and policies.

10. Disclaimers

Our Site and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or services will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the fullest extent permitted by law, BAP Marketing will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from your use of our Site or services. Our total liability for any claim relating to the services will not exceed the amount you paid to us for the services giving rise to the claim during the three (3) months preceding the event that gave rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless BAP Marketing and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your use of the services, including content or materials you provide to us.

13. Governing law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles. Any dispute arising from these Terms or our services will be subject to the jurisdiction of the state and federal courts located in Colorado.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of our Site or services after changes take effect constitutes acceptance of the updated Terms.
